MSSL Housing Navigation Agreement

1. SERVICES
1.1 Paid Navigation Consultation
Where the Client purchases paid navigation services, MSSL will provide the following services:
(a) one (1) consultation of approximately one (1) hour;(b) discussion of potential senior housing and related service options based on the information, preferences, priorities, and circumstances provided by the Client;(c) general navigation guidance, educational support, and informational assistance; and(d) assistance coordinating up to five (5) tours or introductions, subject to provider availability, provider cooperation, scheduling constraints, and the Client’s responsiveness.
Additional services, follow-up support, additional consultations, or expanded navigation assistance may be offered at MSSL’s discretion and may be subject to additional fees.
1.2 Nature of Services
The Client acknowledges that MSSL’s services are limited to informational support, navigation assistance, and referral coordination. MSSL does not provide case management, care management, admissions services, advocacy services, or decision-making services on behalf of the Client or Potential Resident.
2. CONSULTANT ROLE AND LIMITATIONS
In providing services under this Agreement, MSSL agrees to use reasonable efforts to assist the Client in understanding available options and navigating the process of identifying possible housing or related service providers. However, the Client acknowledges and agrees as follows:
2.1 Informational and Navigation Support Only
MSSL provides guidance, education, organization, and referral support only. MSSL does not make placement decisions, admissions decisions, eligibility determinations, care decisions, financial decisions, or legal determinations.
2.2 No Guarantee of Outcomes
MSSL does not guarantee placement, acceptance, admission, availability, pricing, waitlist movement, quality of care, service levels, funding, or any particular outcome. Any decision made by a provider or by the Client remains outside MSSL’s control.
2.3 Independent Third-Party Providers
All housing providers, residences, communities, and service providers are independent third parties. MSSL does not own, operate, supervise, manage, or control any provider listed on or introduced through the Platform. The Client is solely responsible for conducting due diligence, asking questions, reviewing contracts, confirming credentials, visiting locations, and obtaining independent professional advice where appropriate.
3. CLIENT RESPONSIBILITIES
By entering into this Agreement, the Client agrees to the following:
3.1 Accurate Information
The Client will provide information that is true, accurate, current, and complete to the best of the Client’s knowledge, including information about preferences, budget considerations, care needs, timing, location preferences, and other relevant factors.
3.2 Authority to Act
If the Client is seeking services for another person, the Client confirms that the Client has the authority, consent, or lawful basis to provide information relating to that Potential Resident and to request navigation or referral support on their behalf.
3.3 Participation in the Process
The Client is responsible for reviewing options, responding to communications, attending consultations or tours, making independent decisions, and following up with providers as appropriate. Delays caused by the Client, a provider, or a third party do not constitute a breach by MSSL.
3.4 Platform and Listing Limitations
The Client understands and agrees that:
(a) some provider listings may be unclaimed, incomplete, or not independently verified by MSSL;(b) provider information may change and may not always be complete, current, or available; and(c) the Platform may contain third-party links, websites, email systems, forms, booking tools, or services that are not owned or controlled by MSSL.
4. CONNECTED COMMUNITIES AND DISCLOSURE
The Client understands and agrees that some providers participate in MSSL’s Connected Community or similar referral-based arrangements.
If the Client selects a participating Connected Community provider and a successful move-in or service commencement occurs, MSSL may receive a referral fee or placement fee from that provider. The existence of such a referral arrangement does not guarantee placement, acceptance, suitability, pricing, or service quality, and does not obligate the Client to select a Connected Community provider.
The Client remains free to choose any provider, whether or not that provider participates in the Connected Community.
5. FEES, PAYMENT, CANCELLATION, AND REIMBURSEMENT5.1 Consulting Fee
The Client agrees to pay a consulting fee of $179.00 plus applicable taxes, payable prior to or on the date of the scheduled consultation, unless otherwise agreed by MSSL in writing.
5.2 Fee Earned
The consulting fee is earned once the consultation has been provided or once MSSL has reserved the consultation time and made reasonable efforts to deliver the service, subject to any rights required by law.
5.3 Cancellation or Rescheduling by Client
If the Client wishes to cancel or reschedule, the Client should provide as much notice as possible. MSSL may, in its discretion, allow rescheduling or apply the fee to a future appointment, but is not required to do so unless required by law.
If the Client fails to attend a scheduled consultation, arrives materially late, or does not provide information reasonably required for the consultation to proceed, the consultation may be treated as completed for billing purposes.
5.4 Reimbursement Following Connected Community Move-In
If:
(a) the Client has paid the consulting fee;(b) the Client or Potential Resident selects a Connected Community provider introduced through or identified by MSSL; and(c) a successful move-in or service commencement occurs and is confirmed by MSSL,
then MSSL will reimburse the consulting fee paid by the Client, less any amount required to be withheld by law, within a reasonable time after confirmation of the successful move-in or service commencement.
For the purposes of this section, confirmation may include confirmation from the provider, the Client, or MSSL’s records. Reimbursement applies only once per paid navigation engagement and only where the move-in or service commencement can reasonably be connected to MSSL’s navigation or referral process.
5.5 No Other Refunds
Except as expressly stated in this Agreement or as required by law, consulting fees are non-refundable.
6. NO PROFESSIONAL ADVICE
The Client acknowledges and agrees that services provided under this Agreement are informational and navigational only and do not constitute medical, legal, financial, insurance, tax, clinical, social work, or other regulated professional advice.
The Client remains solely responsible for decisions relating to housing, care, health, finances, legal matters, contracts, and service selection. The Client should obtain independent professional advice where appropriate.
7. PRIVACY AND CONSENT TO INFORMATION SHARING
The Client acknowledges that MSSL may collect, use, and disclose personal information in accordance with MSSL’s Privacy Policy.
Where the Client asks MSSL to assist with referrals, introductions, tour coordination, or communications with a provider, the Client authorizes MSSL to share information reasonably necessary to facilitate those services, including information about preferences, timing, location, and relevant care or service considerations, subject to applicable law.
If the Client is providing information on behalf of a Potential Resident, the Client confirms that the Client has the authority or consent necessary to do so.
8. LIMITATION OF LIABILITY
To the maximum extent permitted by law:
(a) MSSL is not responsible for the acts, omissions, decisions, contracts, conduct, negligence, licensing status, care quality, admissions decisions, prices, or outcomes of any third-party provider;(b) MSSL does not guarantee quality of care, provider conduct, provider availability, suitability, or service delivery; and(c) any liability of MSSL that cannot legally be excluded shall be limited to the amount paid by the Client to MSSL under this Agreement for the specific paid navigation service giving rise to the claim.
Nothing in this Agreement excludes any rights or remedies that cannot legally be excluded under applicable law.
9. INDEMNITY
The Client agrees to indemnify and hold harmless MSSL and its owners, officers, directors, employees, contractors, and agents from and against claims, losses, damages, costs, and expenses arising from:
(a) information provided by the Client that is false, incomplete, misleading, or unauthorized;(b) the Client’s misuse of the Platform or services;(c) the Client’s interactions or disputes with third-party providers; or(d) the Client’s breach of this Agreement, the Terms of Use, or the Privacy Policy;
except to the extent caused by the gross negligence or willful misconduct of MSSL.
10. TERM AND TERMINATION
This Agreement begins when the Client accepts it or purchases paid navigation services and continues until the services described in this Agreement have been completed, unless earlier terminated.
MSSL may refuse, suspend, or terminate services where the Client provides misleading information, acts abusively, fails to cooperate reasonably, requests unlawful conduct, or otherwise breaches this Agreement. If MSSL terminates for one of those reasons after work has begun or consultation time has been reserved, the consulting fee may remain non-refundable, subject to applicable law.
11. ELECTRONIC ACCEPTANCE
This Agreement may be accepted electronically, including by checkbox, digital signature, email confirmation, payment, or use of the service after being presented with the Agreement, and such acceptance shall be legally binding to the same extent as a signed written agreement.
12. GOVERNING LAW
This Agreement shall be governed by and interpreted in accordance with the laws of the Province of Saskatchewan and the applicable federal laws of Canada.
13. ENTIRE AGREEMENT
This Agreement, together with MSSL’s Terms of Use and Privacy Policy, constitutes the entire agreement between the parties relating to the paid navigation services described in this Agreement and supersedes prior discussions or understandings relating to those services.
