MSSL Provider Schedule B- Connected Communities

SCHEDULE B- CONNECT COMMUNITY REFERRAL SERVICES
This Schedule B applies only where the Provider is approved for and separately enrolls in MSSL’s Connected Community or any other referral-fee-based consulting or navigation program.
B1. SCOPE AND NATURE OF THE PROGRAM
The Connected Community is a consulting- and navigation-based referral program. It is distinct from general listing services offered through the public website.
Participation in the Connected Community does not require the Provider to purchase a paid listing unless MSSL expressly states otherwise in writing.
A public website listing, by itself, does not create any obligation to pay referral or placement fees under this Schedule.
B2. ElLIGIBILITY AND OPT-IN
Only Providers approved by MSSL for referral participation may participate in the Connected Community.
Participation requires:
express opt-in;
acceptance of this Schedule B; and
completion of any onboarding or verification steps required by MSSL.
MSSL may limit participation to certain provider categories (including Housing Providers) and may restrict or condition participation to providers located in Saskatoon, Saskatchewan and area. MSSL may establish separate eligibility criteria, verification standards, and pricing models for different provider types and/or locations.
B3. NO GUARANTEE OF REFERRALS
Participation in the Connected Community does not guarantee referrals, introductions, placements, conversions, occupancy, revenue, or any minimum number of opportunities.
B4. IN-PERSON REVIEW AND VERIFIED STATUS
Where MSSL includes an in-person visit, review, or similar assessment as part of Connected Community participation, that process may be used by MSSL in determining whether to assign or maintain a “verified” designation on the website.
Any “verified” status remains subject to Section 8 of the Provider Terms & Conditions and may be changed or removed by MSSL if program requirements are no longer satisfied.
B5. DEFINITIONS
B5.1 Qualified Referral
“Qualified Referral” means a prospective client, resident, family member, caregiver, or authorized representative who is introduced to the Provider through MSSL’s paid consulting, navigation, or referral services, and not solely through general use of the public online directory, where MSSL can reasonably demonstrate through records such as intake forms, emails, notes, referral logs, call records, or other business records that the introduction originated through those consulting or navigation services.
A referral is not disqualified merely because the referred party later communicates directly with the Provider, completes intake independently, or is later reintroduced by another family member or contact, so long as MSSL can reasonably show that MSSL was the originating source of the introduction through consulting or navigation services.
B5.2 Successful Placement
“Successful Placement” means that a Qualified Referral:
(a) moves into, is admitted to, or begins residency with the Provider;(b) enters into a service, care, housing, occupancy, support, or residency agreement with the Provider;(c) begins receiving paid services from the Provider; or(d) otherwise starts a paid arrangement with the Provider arising from the Qualified Referral.
A Successful Placement is determined by the substance of the outcome, not by the internal label, payer identity, funding source, or contract title used by the Provider.
B5.3 Placement Fee
“Placement Fee” or “Referral Fee” means the fee payable by the Provider to MSSL upon a Successful Placement of a Qualified Referral, in the amount or according to the formula disclosed to and accepted by the Provider during onboarding, renewal, program enrollment, invoice acceptance, or a later written amendment.
B6. PLACEMENT FEES AND PAYMENT TERMS
B6.1 Fee Obligation
The Provider agrees to pay MSSL a Placement Fee for each Successful Placement of a Qualified Referral.
B6.2 Fee Schedule
The applicable Placement Fee shall be the fee model disclosed to and accepted by the Provider during onboarding, renewal, program enrollment, or later written amendment.
The applicable Placement Fee is set out in the Connected Community Pricing Schedule in effect at the time of the Provider’s acceptance or renewal.
Independent & Small Operators (1–75 units): $1,500 per Successful Placement
Mid-Size & Regional Operators (76–200 units): $2,500 per Successful Placement
Corporate & Enterprise Operators (201+ units): $3,500 per Successful Placement
B6.3 When the Fee Is Earned
The Placement Fee is earned immediately upon Successful Placement, whether the placement is temporary, permanent, trial, short-term, long-term, private-pay, publicly funded, partially funded, subsidized, or funded by a third party, unless expressly agreed otherwise in writing.
Unless expressly agreed otherwise in writing, the Placement Fee is payable in full regardless of:
(a) the duration of the arrangement;(b) the source of funds or payer;(c) whether the client later changes service level or care level;(d) whether the Provider enters into a direct or indirect agreement with the referred person; or(e) whether the Provider later categorizes the arrangement under a different internal service line.
B6.4 Notification and Reporting
The Provider shall promptly notify MSSL of any event that may constitute a Successful Placement involving a Qualified Referral.
At MSSL’s request, the Provider shall provide reasonable confirmation details necessary to verify placement and issue an invoice, including the client name or reference number, move-in date, service start date, agreement date, and such other non-excessive information as is reasonably necessary to confirm the fee obligation.
B6.5 Invoicing and Payment Deadline
MSSL may invoice the Provider upon confirmation or reasonable determination that a Successful Placement has occurred. Unless otherwise stated in writing, Placement Fee invoices are due within thirty (30) days of the invoice date.
B6.6 Late Payment
Any overdue amount shall bear interest at the rate of 1% per month per annum, calculated in accordance with applicable law, from the due date until paid in full.
The Provider shall also be responsible for reasonable costs of collection, including legal fees and disbursements, to the extent permitted by law.
B6.7 Taxes
The Provider shall pay all applicable taxes on Placement Fees, including GST and PST where applicable, in addition to the fee amount unless expressly stated otherwise.
B7. NON-CIRCUMVENTION
The Provider shall not, directly or indirectly, bypass, circumvent, or attempt to avoid MSSL for the purpose of reducing, avoiding, delaying, or defeating any Placement Fee or other payment obligation relating to a Qualified Referral introduced through MSSL.
Without limiting the generality of the foregoing, the Provider shall not:
(a) instruct a referred person to reconnect outside the MSSL process for the purpose of avoiding fees;(b) defer, rename, restructure, or re-document a placement or service arrangement to avoid characterization as a Successful Placement;(c) accept a substantially similar engagement through an affiliate, related entity, operator, manager, or associated person to avoid the fee; or(d) encourage a family member, representative, or third party to complete the engagement outside the documented MSSL referral channel for the purpose of avoiding payment.
A referral will be considered to have originated through MSSL where MSSL can reasonably demonstrate the introduction through its records, intake notes, emails, texts, call records, or other business records.
This non-circumve
ntion obligation applies for twelve (12) months following the initial introduction of the Qualified Referral and survives termination.
B8. PRE-EXISTING EXCEPTION
A Placement Fee will not apply where the Provider can clearly demonstrate, with dated written evidence reasonably satisfactory to MSSL, that before MSSL’s introduction:
(a) the same prospective client was already under active consideration by the Provider;(b) the Provider had already been in direct communication with that prospective client or their authorized representative regarding a substantially similar placement or service; and(c) the contact did not originate directly or indirectly through MSSL.
A general market lead, casual inquiry, waitlist entry without meaningful engagement, or general awareness of the Provider’s business is not, by itself, sufficient to establish this exception.
B9. RECORDS, VERIFICATION, AND AUDIT RIGHTS
Where reasonably necessary to verify whether a Placement Fee is owing, the Provider shall maintain accurate books and records relating to Qualified Referrals, admissions, move-ins, service start dates, and related agreements for at least two (2) years after the relevant referral.
Upon reasonable notice and no more than twice in any twelve-month period unless a discrepancy is suspected, MSSL may request reasonable supporting records sufficient to verify whether a Successful Placement occurred. Any review shall be limited to information reasonably necessary to confirm the fee obligation and shall be conducted in a manner intended to minimize disruption and protect privacy.
If a review reveals an underpayment of more than ten percent (10%) for the period reviewed, the Provider shall promptly pay the shortfall and reimburse MSSL for the reasonable costs of the review, to the extent permitted by law.
B10. SUSPENSION OR REMOVAL FROM THE PROGRAM
MSSL may suspend or remove the Provider from Connected Community participation where the Provider breaches this Schedule, fails to pay a Placement Fee, misuses referral information, circumvents MSSL, provides misleading information, creates legal or reputational risk, or no longer satisfies program requirements.
Suspension or removal from the Connected Community does not, by itself, terminate a separate listing subscription unless MSSL also terminates or suspends Schedule A under the Provider Terms & Conditions.
