MSSL Provider Terms and Conditions

1. AGREEMENT AND ACCEPTANCE 

This Provider Agreement (the “Agreement”) consists of these Provider Terms & Conditions together with any service schedules, pricing schedules, onboarding acceptances, invoices, policies, and other documents expressly incorporated by reference.


This Agreement governs participation by housing providers, service providers, and their authorized representatives (collectively, the “Provider”) in services offered by My Sask Senior Living (“MSSL”).

By creating an account, claiming or submitting a listing, purchasing a listing tier, enrolling in the Connected Community, accepting any schedule, or otherwise using provider-facing features made available by MSSL, the Provider agrees to be bound by:

  1. these Provider Terms & Conditions; and

  2. each service schedule the Provider separately selects or accepts.

If the Provider does not accept a particular schedule, that schedule does not apply.


MSSL may update these Provider Terms & Conditions or any schedule by posting a revised version or otherwise providing notice by a reasonable written method. Continued participation in the affected service after the effective date of the update constitutes acceptance of the revised terms to the extent permitted by law.


2. PLATFORM ROLE

MSSL operates a moderated, technology-enabled directory, referral, navigation, and provider promotion platform intended to help users identify and connect with senior housing and senior-related service providers in Saskatchewan.

Depending on the services selected by the Provider, MSSL may:

  • display provider listings;

  • provide listing tiers and promotional features;

  • conduct moderation and administrative review;

  • facilitate introductions and referrals through consulting or navigation services; and

  • offer optional participation in referral-related programs, including the Connected Community.

MSSL does not own, operate, supervise, control, or deliver the Provider’s housing, care, support, professional, or other services. MSSL is not the Provider’s employee, partner, fiduciary, franchisee, or agent unless expressly stated in a separate written agreement.


3. ELIGIBILITY, AUTHORITY, AND PROVIDER REPRESENTATIONS

The Provider represents, warrants, and agrees that:

(a) it is duly authorized to represent the organization, residence, business, or service identified to MSSL;

(b) all information submitted to MSSL is true, accurate, current, complete, and not misleading;

(c) it has all rights and permissions needed to provide names, descriptions, logos, photographs, contact details, and other materials submitted to MSSL;

(d) it will promptly update information that becomes inaccurate, outdated, incomplete, or misleading;

(e) it will comply with all applicable laws, regulations, licensing requirements, privacy obligations, advertising requirements, consumer-protection obligations, and contractual duties relevant to its operations and participation; and

(f) any person accepting this Agreement on behalf of the Provider has authority to bind the Provider.


MSSL may rely on Provider-submitted information. Inaccurate, incomplete, or misleading information may result in rejection, suspension, removal, reclassification, fee adjustment, or termination.


4. PROVIDER CLASSIFICATIONS

Each Provider must identify itself as either:

(a) a Housing Provider; or

(b) a Service Provider.

Provider classification may affect eligibility, pricing, listing structure, referral treatment, program access, verification status, and payment obligations.

MSSL reserves the right to review, verify, modify, or correct Provider classification where MSSL reasonably determines that the selected category is inaccurate or inconsistent with the Provider’s actual business model or services.

If a classification change affects pricing or eligibility, MSSL may require acceptance of updated pricing or revised service terms before continued participation in the affected service.


5. ACCOUNT ADMINISTRATION

The Provider is responsible for maintaining accurate account information and limiting account access to authorized personnel.

The Provider is responsible for all activity occurring through its account credentials unless the Provider promptly notifies MSSL of unauthorized use.


6. DATA, USE, PRIVACY, AND CONFIDENTIALITY

Where the Provider receives personal information from MSSL or through participation in any MSSL service, the Provider shall:

(a) use that information only for the purposes for which it was disclosed;

(b) protect the information using reasonable administrative, technical, and physical safeguards appropriate to its sensitivity;

(c) not sell, misuse, improperly disclose, or exploit personal information for unrelated purposes;

(d) comply with applicable privacy laws and confidentiality obligations; and

(e) promptly notify MSSL of any actual or suspected unauthorized access, disclosure, misuse, loss, or breach involving information obtained through MSSL.


The Provider shall also keep confidential all non-public business information received from MSSL, including fee arrangements, referral records, unpublished platform information, account information, internal notes, and operational processes, except where disclosure is required by law or authorized in writing.

These obligations survive termination.


7. CONTENT LICENCE

To the extent the Provider submits or uploads listing content, images, logos, descriptions, business information, or similar materials to MSSL, the Provider grants MSSL a non-exclusive, worldwide, royalty-free licence during the term of the applicable service to host, store, copy, format, reproduce, display, publish, distribute, and otherwise use those materials as reasonably necessary to operate, administer, and promote the applicable MSSL services.


The Provider remains solely responsible for ensuring that submitted materials do not infringe any rights or violate any law.


8. VERIFICATION AND “VERIFIED” STATUS

If MSSL offers a verification designation, including any “verified” badge or similar status, that designation means only that the Provider has completed whatever verification or review steps MSSL identifies for that program at that time.


Verification does not constitute a guarantee, endorsement, accreditation, inspection certification, legal compliance determination, clinical approval, or assurance regarding the quality, safety, suitability, availability, or outcomes of the Provider’s services.


MSSL may grant, remove, suspend, or modify verification status where program requirements change or where MSSL reasonably determines that the status is no longer appropriate.


9. DISCLAIMERS

MSSL does not guarantee listing approval, publication, ranking, lead volume, referral volume, placement volume, occupancy, conversion rates, revenue, provider performance, client suitability, or uninterrupted platform availability.

All services are provided on an “as is” and “as available” basis, subject to applicable law.


10. INDEMNIFICATION

The Provider agrees to indemnify, defend, and hold harmless MSSL and its owners, officers, directors, employees, contractors, agents, and affiliates from and against any claims, demands, actions, proceedings, damages, losses, liabilities, penalties, fines, costs, and expenses, including reasonable legal fees and disbursements, arising out of or related to:

(a) the Provider’s services, operations, admissions, care, staff, pricing, conduct, or omissions;

(b) inaccuracies, misrepresentations, or omissions in Provider-submitted information or content;

(c) breach of this Agreement by the Provider;

(d) misuse, unauthorized disclosure, or unlawful handling of personal information by the Provider;

(e) provider-client or provider-family disputes; or

(f) allegations that Provider-submitted content infringes intellectual property, privacy, publicity, contractual, or other rights.


11. LIMITATION OF LIABILITY 

To the maximum extent permitted by law, MSSL and its owners, officers, directors, employees, contractors, agents, and affiliates shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of revenue, profits, business, opportunity, goodwill, data, or anticipated savings arising from or related to this Agreement or any service provided under it.

To the maximum extent permitted by law, MSSL’s aggregate liability for any claim arising out of or relating to this Agreement shall not exceed the total amount actually paid by the Provider directly to MSSL under the specific service schedule giving rise to the claim in the twelve (12) months preceding the event giving rise to the claim.


12. INDEPENDENT CONTRACTOR; NO PARTNERSHIP OR AGENCY

Nothing in this Agreement creates any partnership, joint venture, employment, franchise, fiduciary, or agency relationship between MSSL and the Provider. The Provider is an independent business and has no authority to bind MSSL unless expressly authorized in writing.


13. TERM, SUSPENSION, AND TERMINATION 

These Provider Terms & Conditions begin when the Provider first accepts them or first uses a provider-facing feature governed by them, and continue until terminated.


MSSL may suspend, restrict, or terminate the Provider’s participation, account, listing rights, referral status, verification status, or access to any service at any time where MSSL reasonably believes the Provider has breached this Agreement, failed to pay amounts due, submitted misleading information, misused personal information, created legal or reputational risk, or otherwise acted inconsistently with platform standards or applicable law.


The Provider may terminate participation in one or more services by giving written notice to MSSL, subject to any prepaid terms, accrued payment obligations, earned referral obligations, non-circumvention obligations, and other surviving obligations.


Termination of one schedule does not automatically terminate another schedule unless expressly stated by MSSL in writing or unless the underlying breach makes continued participation unreasonable.


14. CROSS-DEFAULT OPTION 

If the Provider materially breaches one schedule, MSSL may suspend or terminate the Provider’s rights under that schedule. MSSL may also suspend or terminate the Provider’s participation in another schedule where the breach reasonably creates payment risk, legal risk, privacy risk, or reputational risk across the provider relationship.


15. NOTICES 

MSSL may provide notices by email, account notification, website posting, invoice, or other reasonable written method using the Provider contact details on file. The Provider is responsible for keeping contact details current.


Any notice from the Provider to MSSL must be sent to the contact details designated by MSSL for legal, billing, or provider communications.


16. GOVERNING LAW AND VENUE 

This Agreement is governed by the laws of the Province of Saskatchewan and the applicable federal laws of Canada.

Subject to any mandatory dispute-resolution process expressly agreed in writing, the parties attorn to the exclusive jurisdiction of the courts of Saskatchewan.


17. SEVERABILITY 

If any provision of this Agreement is found to be invalid, illegal, or unenforceable, that provision shall be severed to the minimum extent necessary, and the remainder shall continue in full force and effect.


18. ENTIRE AGREEMENT 

These Provider Terms & Conditions, together with each accepted schedule, pricing schedule, onboarding acceptance, invoice terms, privacy policy, and other documents expressly incorporated by reference, constitute the entire agreement between the parties regarding the subject matter addressed herein and supersede prior discussions or understandings relating to that subject matter.
